Terms of Service

SlikPro allows you to measure the work climate, culture at all stages of the life cycle of employees in a company.

Through the Platform you can create surveys of all kinds in relation to the work climate, pulse, staff selection, induction, promotion and exit of employees, among others your own questions or suggested from the "Library of Tested Surveys"; analyse the results of the various surveys that are being completed and select, create and administer action plans.

If you are using the Services on behalf of a company or any other entity, you agree to these Terms on behalf of that entity and you represent that you have the authority to do so. In such a case, "you" and "your" will refer to that entity. In addition, since the Services are available only to persons who are at least 18 years of age, you represent and warrant that you are at least 18 years of age and assume full responsibility for the selection and use of the Services. These Terms are void where prohibited by law and the right of access to the Services is revoked in such jurisdictions.

The Platform has different functional tools (hereinafter "Functionalities"), created to manage different human resources processes. These Functionalities can be visualized as different modules.

Company Module: Module designed to create, delete, manage and update offices, departments and users with different types of permissions. Surveys Module: Module designed to create surveys such as work climate, pulse, engagement, selection, induction, promotion and exit of employees among others, both from scratch and from our library. Reports Module: Module designed for the visualization of statistics generated by the different responses obtained through the Surveys Module. Action Plans Module: Module designed to create different action plans based on the different responses obtained through the Surveys Module.

To use the Platform, you must register for a Services account. You warrant that any registration information (such as name, contact information or other information) you send to SlikPro is accurate, complete and not misleading, and you agree to keep such information updated Otherwise, it constitutes a breach of these Terms and may result in the immediate termination of your account. To the extent that you can select a "username", you may not (i) select or use a username that is the name of another person with the intention of impersonating that person; (ii) use a username that is a name subject to the rights of a person other than yourself without the appropriate authorisation; or (iii) use a username that is offensive, vulgar, obscene or illegal. We reserve the right, in our sole discretion, to cancel or refuse registration of any user name that we believe violates these Terms, our policies or the law. You will be responsible for maintaining the confidentiality of your password and other account information. Your username must be used by only one person; single sign-on shared by several people is not allowed. Slik is not responsible for any loss or damage for failure to comply with this Section. We may use your registration information and any technical information about your use of the Services to tailor your submissions to you, facilitate your movement through the Services, communicate separately with you or post the fact that you are a user of our services.

You represent and warrant that (i) your use of the Services will comply with all laws and regulations; (ii) Your Content will not infringe or violate the intellectual property rights of third parties or any laws or regulations (including, but not limited to, obscenity, defamation, and privacy laws); (iii) if you use the Services on behalf of a third party, you have all necessary authorizations; and (iv) your use of the Services will not conflict with any obligations you have with any third party. We reserve the right, in our sole discretion, to remove, modify, prevent access or refuse to display Your content that we believe violates these Terms, our policies or the law.

SlikPro offers "Business", "Pro" and "Enterprise" paid accounts. If you are a user who pays for the Services, you must pay the SlikPro Service fees in accordance with this Section 5 and our pricing policy ("Rates"). You will be billed for your first subscription period immediately after upgrading to a paid subscription. Subscriptions shall be automatically renewed for a period equal to that of the previous subscription period. All fees will be billed in advance (monthly or annually depending on the subscription you purchase) and the credit card last used by you for a SlikPro transaction will be automatically charged at the start of each subscription period. All Rates are non-refundable, unrestricted, we will not provide refunds or credits for partial months of Service, for updates or downgrades, or for unused months of an annual account. For any subscription update, the credit card last used by you for a SlikPro transaction will automatically be charged the new fee on your next billing cycle. We reserve the right to change the Fees and institute new Fees and Fees at the end of each subscription period. Unpaid fees are subject to a financial charge of 1.5% per month or the maximum permitted by law, whichever is lower, plus all collection costs. You will be responsible for all taxes associated with the Services that are not taxes based on SlikPro’s net income.

In the event of switching from a "Business", "Pro" or "Enterprise" account to a lower-level user account, the functions previously used for the upper level will be removed and limited to the basic functions at the lower level. Full access to survey data may not be available, if you make use of an account prior to that of the top account functions. In order to access again, it is possible to update the account at any time.

The Services display content provided by third parties that do not belong to SlikPro. This content is the sole responsibility of the entity that publishes it. Accordingly, you are responsible for your own Content and must ensure that you have all the rights and permissions necessary to use it in connection with the Services. SlikPro will not be responsible for any action you may take regarding your Content, including your public disclosure. Do not use the content of the Services if you have not obtained prior permission from your owner or if you are not authorized by law to do so.

Your use of the Services does not grant you ownership of any intellectual property rights in the Services. You agree that all SlikPro content and materials delivered through the Services or made available by SlikPro (collectively, "Our Content") are protected by copyright, trademarks, service marks, patents, trade secrets or other laws and property rights. However, you may print or download a reasonable amount of copies of Our Content for your own informational purposes; provided that you keep all copyright notices and other proprietary notices within the copies. Reproduction, copying or distribution of any of our Content design elements for any other purpose is strictly prohibited without our prior written permission. The use of our content for any purpose not expressly permitted in these terms is prohibited. SlikPro reserves all rights not expressly granted in these Terms.

SlikPro will treat your Content in strict confidentiality and will only use and disclose it in accordance with these Terms of Use. However, your Content will not be considered confidential if: (a) it is or becomes a public domain (other than through SlikPro’s non-compliance with these Terms); (b) SlikPro had knowledge of the Content legally prior to receiving it from you; (c) SlikPro receives it from a third party with no knowledge of breach of any commitment to you; or (d) was independently developed by SlikPro without reference to its Content.

You are responsible for all of your activities in relation to the Services and you will defend, indemnify and hold SlikPro and each of its employees, contractors, directors, suppliers and representatives of all liabilities liable, damages, losses, agreements, claims, actions, claims, costs and expenses, including attorneys' fees, arising out of or in connection with (i) use or misuse of the Services, (ii) access to any part of SlikPro and the Services, (iii) Your content, or ( iv) violation of these Terms.

You can cancel your account at any time by contacting us at cancellations@slikpro.. The account screen provides a simple cancellation link. No other form of cancellation (such as telephone or email) will be valid. If you cancel the Services before the end of your current subscription period, the cancellation will take effect immediately and your Content will be immediately removed from the Services. You will not be charged for any subsequent subscription period. For clarity, the paid amounts are non-refundable and if your account is canceled in the middle of a subscription period, you will lose all paid amounts.

We may restrict, suspend or terminate the Services we provide to you (i) if you do not comply with these Terms or our policies (including, without limitation, failure to pay any fees you must pay in connection with the Services) (ii) if you use the Services in a manner that creates or may create liability for us, (iii) if you interfere with the use of the Services by others, (iv) if a police, judicial or other government agency requests us, or (v) if we need to investigate alleged misconduct on their part. Any restriction, suspension or cancellation shall be made by us in our sole discretion, and we shall not be liable to you or any third party for any damage that may result from or arise from such restriction, suspension or cancellation of your account and/or access to the Services. In the event of an urgent matter, we reserve the right to take immediate action without notice. In addition, unless you are a paid user, we reserve the right to cancel and delete your account if you have not accessed the Services for a period of 365 days or longer.

Upon termination by you or SlikPro, (i) all of your content will be immediately removed from the services, (ii) you will no longer be able to access (or attempt to access) the services, (iii) all fees due to SlikPro will be immediately enforceable, and (iv) we shall have no obligation to retain any of its contents. You are solely responsible for exporting your content from the Services prior to the termination of the Services you receive. All provisions of these Terms which, by their nature, should remain in effect after termination, shall remain in effect after termination, including, but not limited to, proprietary provisions, warranty disclaimers, and limitations of liability.

By creating an account, you agree to receive electronic communications from us, including marketing emails, product updates and other commercial messages. You agree that all agreements, notices, disclosures and other communications we provide to you electronically satisfy any legal requirement that such communications be made in writing. Electronic communications may be in the form of emails sent by us to the email address associated with your account or communications published by us on the SlikPro website.

If you have a problem or concern, we recommend that you first contact your account administrator or the live chat service to try to resolve any issues. However, in the case of formal proceedings, you and SlikPro agree that these Terms shall be governed by and construed in accordance with the laws of the State of Delaware.
